Omnipratika provides these services to you, subject to the following Terms of Service ("TOS"), which may be updated by us from time to time without notice to you. OMNIPRATIKA PRIVACY POLICY Pursuant to Omnipratika's new privacy policy, we may disclose to third parties certain aggregate information contained in your Registration Data or related data, provided that, such information will NOT include personally identifying information, except as specifically authorized by you or in good faith belief that such action is reasonably necessary to comply with the law, legal process, to enforce the TOS, or under any of the other circumstances set forth in our privacy policy, as may be amended from time to time. For more information, please see our Privacy Policy We do not and promise not to rent or sell your personally identifiably data. 5. WEBSITE VISITOR CONDUCT You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such content originated. This means that you, and not Omnipratika, are entirely responsible for all content that you upload, post or otherwise transmit via the Service. Omnipratika does not control the Content posted via such service or operation and, as such, does not guarantee the accuracy, integrity or quality of such content. You agree not to use Omnipratika Service to: (a) upload, post or otherwise transmit any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable; (b) harm minors in any way; (c) impersonate any person or entity, including, but not limited to, an Omnipratika official, mentor agent, guide or host, or falsely state or otherwise misrepresent your identity, affiliation with a person or entity; (d) forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Service. (e) upload, post or otherwise transmit any Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements); (f) upload, post or otherwise transmit any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party; (g) upload, post or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation. (h) upload, post or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (i) disrupt the normal flow of dialogue, cause a screen to "scroll" faster than other users of the Service are able to type, or otherwise act in a manner that negatively affects other users' ability to engage in real time exchanges; (j) interfere with or disrupt the Service or servers or networks connected to Omnipratika Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Omnipratika Service; offering for sale any products or services that may run counter to Omnipratika interests; soliciting for advertisers or sponsors that run counter to Omnipratika interests, conducting raffles or contests that require any type of entry fee; displaying a sponsorship banner of any kind, including those that are generated by banner or link exchange services, Exchange program and the Internet Link Exchange; and displaying banners for services that provide cash or cash-equivalent prizes to users in exchange for hyperlinks to their web sites. (k) to undermine the peace and security, integrity of the Internet and the technology behind it. (l) disguise entry into the Omnipratika website or those of its affiliates, partners and agents. You also will not: (k) link to this Website without the express written permission of Omnipratika. (m) if you have been granted permission to link to the Omnipratika website, you may only do so on the basis that you link to, but do not replicate, the home page of the website, and subject to the following conditions: (n) you do not remove, distort or otherwise alter the size or appearance of Omnipratika home page and logo. (o) you do not create a frame or any other browser or border environment around the Omnipratika website. (p) you do not misrepresent your relationship with Omnipratika or present any false information about Omnipratika. (q) You will not link a site to the Omnipratika website in any other language except in English. Pursuant to the foregoing, you agree not to associate Omnipratika with your link if you do so without permission. In this connection, Omnipratika is not a party to your decision and action(s). 6. SPECIAL ADMONITIONS FOR LOCAL & INTERNATIONAL USE Recognizing the global nature and facelessness of the Internet, you agree to comply with all local rules regarding online conduct and acceptable content. Specifically, you agree to comply with all applicable laws regarding the rightful transmission of technical data exported from/to NIGERIA or the country in which you reside. Once you log into Omnipratika website, please know that your IP address and URL are no longer hidden from our servers and relevant tools. 7. OMNIPRATIKA NETWORK By registering with Omnipratika, you become a member of the site and you agree to be bound by the terms and conditions of this agreement for as long as you continue to be a member. Eligibility and Registration You must be eighteen years old or over to register as a member of Omnipratika network or use the Website. Membership in the Service is void where prohibited. By using the Website, you represent and warrant that you have the right, authority, and capacity to enter into this Agreement and to abide by all of the terms and conditions of this Agreement. However, we cannot guarantee that each member is at least the required minimum age, nor do we accept responsibility or liability for any content, communication or other use or access of the site by persons under the age of 18 in violation of these terms. You are automatically inducted into the network if or when you are shown the Omnipratika Forex Trading Strategy. When registering to become a member you must register with Omnipratika through the online subscription mode provided. Except you have a waiver in writing. When and if you register to become a member, you agree to provide accurate, current and complete information about yourself. You will need to send to us a scanned copy of your valid international travel passport OR utility bill OR a valid identity card [driver's license, social security, national ID] and to maintain and update your information to keep it accurate, current and complete at all times. Term for network membership: Access to Omnipratika network member area is FREE but each person must have their own account and login name for our partner sites where applicable. Your access to Omnipratika may not permit FREE access to our agents, partner and affiliate site(s) member areas. YOU DO NOT NEED A PASSWORD TO ACCESS OMNIPRATIKA NETWORK but ensure your member ID is correct in every communication with us. Member communication without ID will get no response. This Agreement will remain in full force and effect while you use the Website and/or are a member of the network. You may terminate your membership at any time, for any reason by contacting us through an unsubscribe link in the right column, page of the website...and your membership will be terminated upon receipt of email notice of termination. You will also find an unsubscribe link here in center column. If you register for network membership or already involved in mentorship, you will not 'jump ship' until you complete ongoing or work - in - progress in which you may be involved. If you are unable
to make money from Omnipratika Forex Project for no reason caused by or
attributable to Omnipratika when you are expected to have started doing
so, you will pay $3 per diem, until you regularize the situation.
This is without any prejudice
whatsoever. From the foregoing, you agree to pay $50000 proprietary rights to Omnipratika annually for 10 years only, when you opt out of the Omnipratika Network. You also agree
to return any or all of omnipratika properties in your possession. Omnipratika may terminate your membership for any reason that violates this TOS, effective upon sending notice to you at the email address you provide in your application for membership, or such other email address as you may later provide to Omnipratika. If Omnipratika terminates your membership in the Service because you have breached the Agreement, you will not be entitled to any refund of unused subscription fees. Similarly, If you opt out on your own, you will get a refund for the unused balance of your subscription, less admin charges of $20. When you register to become a member of Omnipratika network, you will receive a response e-mail acknowledging your membership which will show you where and how to pay your registration and membership fees. For now, send Money through Western Union money transfers and Telegraphic or wire transfer only. Registration fee is $7 with break down as follows: $5 application fee plus $2 processing fee. This ensures you have a place or slot in the Omnipratika network for 21 days only. If you cancel or withdraw your regular membership, i.e. membership outside the 21 day trial period, you must give a 72 hr notice. This will give intermediary banks sufficient time to effect the changes. Your cancellation will take effect from the new month ahead of the date we receive your notification. If you continue to retain your membership after 21 days, your monthly payment is $21 with 5% discount for a 12 months lump payments. Your discount is retrievable here. Free Membership. You will observe that all you need to access Omnipratika website is the Internet and a good browser. Consistent with Omnipratika higher level policy direction and business philosophy, we truly have no border. So, once you have the desire to visit our website and member area, you have no restriction whatsoever. The big but is that you may not be able to obtain maximum benefit or optimize the Omnipratika open door, seamless site without a mentor. SPAM Policy Member e-mail and website

INDEMNITY You agree to defend, indemnify and hold harmless Omnipratika and our Center for the Development of Agricultural Cooperatives (CEDAC), independent contractors, service providers, consultants, affiliates, officers, agents, co-branders or other partners, employees and directors, harmless from any claim or demand, damages, costs, liabilities and expenses (including, but not limited to reasonable attorneys' fees) arising out of your content, your use of or inability to use the site, including without limitation any actual or threatened suit, demand or claim made against Omnipratika and/or its independent contractors, service providers, employees, directors or consultants, arising out of or relating to the Content, your connection to the Service, your violation of the TOS, or your violation of any rights of another. 9. NO RESALE OF PRODUCT/SERVICE You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Omnipratika and or partner Product/Service, or access to the Service except where such permission is granted. 10. GENERAL PRACTICES REGARDING USE OF INFORMATION FROM OMNIPRATIKA WEBSITE You agree to obtain permission before using information from Omnipratika website or hard copy information, failure of which Omnipratika reserves the right to take action under the law. The reason we need these permissions is to ascertain your right to such information and ensure that such information would be put to lawful use without damage to Omnipratika, its staff, partners, others and the internet technology as a whole. 11. MODIFICATIONS TO SERVICE Omnipratika reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Omnipratika shall not be liable to you or to any third party for any modification, suspension or discontinuance of its product or Service. 12. TERMINATION You agree that Omnipratika in its sole discretion, may terminate, use of the Service or use of any other Omnipratika service, and remove and discard any Content within the Service, for any reason, including, without limitation, for lack of patronage or if Omnipratika believes that you have violated or acted inconsistently with the letter or spirit of the TOS. Omnipratika may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, with or without notice. You agree that any termination of your access to the Service under any provision of this TOS may be effected without prior notice, and acknowledge and agree that Omnipratika may immediately block or delete your Omnipratika and all related information and files in your Omnipratika connections. Further, you agree that Omnipratika shall not be liable to you or any third-party for any termination of your access to the Service. 13. ADVERTISEMENTS AND PROMOTIONS Omnipratika runs advertisements and promotions on Omnipratika Site. View http://omnipratika.bravehost.com/qualityad.htm By visiting Omnipratika site, you agree that Omnipratika has the right to run such advertisements and promotions. The manner, mode and extent of advertising by Omnipratika is subject to change without notice. Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Service, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree that Omnipratika shall not be responsible or liable for any loss or damage of any sort incurred as a result of any such dealings or as a result of the presence of such advertisers on the Service. 14. LINKS The Service provide links to the entire World Wide Web sites and, or resources. Because Omnipratika has no control over such sites and resources, you acknowledge and agree that Omnipratika is not responsible for the availability or accuracy of such external sites, or resources, and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that Omnipratika shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource. 15. OMNIPRATIKA PROPRIETARY RIGHTS You acknowledge and agree that the Service and any necessary software used in connection with the Service ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in sponsor advertisements or information presented to you through the Service or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by Omnipratika or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part. 16. DISCLAIMER OF WARRANTIES YOU EXPRESSLY UNDERSTAND AND AGREE THAT: (a) YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. OMNIPRATIKA EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. (b) OMNIPRATIKA MAKES NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCT, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS, AND (v) ANY ERRORS IN THE PRODUCT/SERVICE WILL BE CORRECTED. (c) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK. (d) NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM OMNIPRATIKA OR THROUGH/FROM THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TOS. 17. LIMITATION OF LIABILITY YOU EXPRESSLY UNDERSTAND AND AGREE THAT OMNIPRATIKA SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF OMNIPRATIKA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (v) ANY OTHER MATTER RELATING TO THE SERVICE. 18. EXCLUSIONS AND LIMITATIONS SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS OF SECTIONS 16 AND 17 MAY NOT APPLY TO YOU. WHERE THIS IS THE CASE, IDENTIFY SUCH WARRANTIES AND PLEASE ORDER YOUR BROWSER TO SHUT DOWN IF YOU SO DESIRE. 19. INTERPRETING THE TOS All parts of this agreement apply to the maximum extent permitted by law. A court may hold that we cannot enforce a part of this contract as written. If any provision of this TOS shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited to the minimum extent necessary so that this TOS shall otherwise remain in full force and effect and remain enforceable between the parties. The said minimum extent necessary shall be determined by a court of competent jurisdiction in Nigeria. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. This TOS, including Omnipratika policies governing the Service referenced herein, constitute the entire agreement between Omnipratika and Buyer with respect to Buyer’s use of the Service. This TOS is not intended and shall not be construed to create any rights or remedies in any parties other than Buyer and Omnipratika, and other affiliates which each shall be a third party beneficiary of this TOS for Buyers, and no other person shall assert any rights as a third party beneficiary. The rest of this contract will not change. This is the entire contract between you and Omnipratika regarding your use of the service. It supersedes any prior contract or statements regarding your use of the service. If you have confidentiality obligations related to the service, those obligations remain in force (for example, you may have been a beta tester). The section titles in the contract do not limit the other terms of this agreement. 20. ASSIGNMENT This Agreement is solely for you and Omnipratika benefit. It is not for the benefit of any other person, except for permitted successors and assigns under this contract. 22.. SPECIAL ADMONITION FOR SERVICES RELATING TO FINANCIAL MATTERS If you intend to create or join any service, receive or request any news, messages, alerts or other information from the Service concerning companies, stock quotes, investments or securities, or contracts for determination a.k.a. CFDs, please read the above Sections 16 and 17 again. They go doubly for you. In addition, for this type of information particularly, the phrases "Let the investor beware" "Let the buyer beware" - caveat emptor are apt. The Service is provided for informational purposes only, and no Content included in the Service is expected to force your decision for trading or investing purposes. Omnipratika shall ensure but will not be responsible or liable for the accuracy, usefulness or availability of any information transmitted via the Service, and shall not be responsible or liable for any trading or investment decisions made based on such information. 23. NOTICE Notices to you may be made via either email or regular mail. The Service may also provide notices of changes to the TOS or other matters by displaying notices or links to notices to you generally on the Service. 24. COPYRIGHTS Intellectual Property Policy Omnipratika Nigeria Limited ("Omnipratika") provides consultancy, web tools and internet resources for marketing networks and technology that permit independent website operators to form cooperative marketing relationships using the World Wide Web. Our network is available for use only to persons or entities that join us or the networks to which we are affiliated. Omnipratika has electronic mail posting facilities designed for communication with other members of the Network. While Omnipratika encourages Merchants and Consumers of our products and services to adopt responsible approaches to online marketing, it is possible that some Merchants or Consumers of our products will take actions or engage in activities through any network or otherwise that are alleged to infringe the intellectual property rights of others. Please let us know about it. Claims of Copyright Infringement Although Registered in Nigeria, Omnipratika concurs with the Digital Millennium Copyright Act ("DCMA"). Upon proper notification of claimed infringement, Omnipratika policy is to respond expeditiously to remove, or disable access to, the material that is claimed to be infringing or to be the subject of infringing activity. When filing a notice of claimed infringement with us, for such notification to be effective under Title II of the "DMCA", the notification must be in writing and provided to the designated agent listed below. In accordance with Section (3)(A) of the "DMCA", the notification of claimed infringement must include substantially the following: (i) A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. (ii) Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site. (iii) Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit Omnipratika to locate the material. (iv) Information reasonably sufficient to permit Omnipratika to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted. (v) A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law. (vi) A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. Upon receipt of notices complying or substantially complying with the DMCA, as specified above, Omnipratika will act expeditiously to remove, or disable access to, the material claimed to be infringing or claimed to be the subject of infringing activity. Claims of Infringement Trademark or Other Intellectual Property Rights, Except Copyrights. In the case of a claim of infringement of a trademark, service mark, trade dress, name, or other indicia of origin ("mark") or other intellectual property right that is not covered by the DMCA, Omnipratika will respond to written notification of such claimed infringement in accordance with applicable laws.
